Welcome to the Hello Wink Affiliate Marketing Program (the "Program"). By participating in the Program, you ("Affiliate") agree to abide by the following terms and conditions. Please read these terms carefully, as they constitute a legally binding agreement between you and Hello Wink ("Company").

1. Eligibility and Enrollment

1.1 To be eligible for the Program, Affiliates must complete the application process and be accepted into the Program at the sole discretion of the Company. 1.2 Affiliates must be at least 18 years of age and possess a valid social media account on one or more of the following platforms: Instagram, TikTok, Facebook, Snapchat, or other social media platforms as designated by the Company.

2. Starter Kit and Obligations

2.1 Upon acceptance into the Program, Affiliates will receive a complimentary starter kit, which includes Hello Wink products (the "Starter Kit"). 2.2 As a condition of receiving the Starter Kit, Affiliates agree to create and publish content on their social media accounts that feature and promote the Hello Wink products included in the Starter Kit. 2.3 Such content must be posted within 14 days of receiving the Starter Kit and must include appropriate tags, mentions, and hashtags as instructed by the Company.

3. Affiliate Link and Discount

3.1 Affiliates will be provided with a personalized affiliate link (the "Affiliate Link"). 3.2 The Affiliate Link will entitle the Affiliate’s followers to a 10% discount on Hello Wink products purchased through the Affiliate Link. 3.3 Affiliates will receive a 10% discount on their personal purchases of Hello Wink products.

4. Commission Structure

4.1 Affiliates will earn a commission of 10% on the total value of orders placed using the Affiliate Link (the "Commission"). 4.2 Commissions will be calculated based on the total value of the order, excluding shipping, taxes, and any returns or cancellations. 4.3 Commissions will be paid out monthly, provided that the Affiliate has earned a minimum of $50 in Commission. If the minimum threshold is not met, earnings will roll over to the following month.

5. Content Guidelines and Brand Alignment

5.1 Affiliates agree to promote Hello Wink products in a manner consistent with the brand’s values and messaging as communicated by the Company. 5.2 The Company reserves the right to review and approve or reject any content that is posted by the Affiliate in connection with the Program. 5.3 Content that the Company deems inappropriate, offensive, misleading, or not in alignment with Hello Wink’s brand may result in the Affiliate’s immediate removal from the Program.

6. Termination

6.1 The Company reserves the right to terminate an Affiliate’s participation in the Program at any time, with or without cause, and for any reason, including but not limited to, the Affiliate’s failure to comply with these terms and conditions or any actions that may harm the reputation or image of Hello Wink. 6.2 Upon termination, the Affiliate will forfeit any unpaid commissions and lose access to the Affiliate Link and any associated discounts.

7. Confidentiality

7.1 Affiliates may be provided with confidential information relating to the Company’s products, marketing strategies, or other proprietary information. Affiliates agree to maintain the confidentiality of such information and not to disclose it to any third party without the express written consent of the Company.

8. Limitation of Liability

8.1 The Company shall not be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the Affiliate’s participation in the Program. 8.2 The Company makes no representations or warranties of any kind, express or implied, regarding the Program or the products provided to Affiliates.

9. Governing Law

9.1 These terms and conditions shall be governed by and construed in accordance with the laws of the State of [Insert State], without regard to its conflict of laws principles. 9.2 Any disputes arising out of or relating to these terms and conditions shall be resolved exclusively in the state or federal courts located in [Insert City, State].

10. Miscellaneous

10.1 The Company reserves the right to modify or update these terms and conditions at any time, with or without notice. Continued participation in the Program following any changes constitutes acceptance of the new terms. 10.2 This agreement constitutes the entire agreement between the Affiliate and the Company regarding the Program and supersedes all prior agreements, understandings, and communications, whether written or oral.
